1. About these terms
These terms and conditions govern your use of the PropertyX website and any property sourcing services we agree to provide to you.
PropertyX is a trading name of 10K Media Ltd, a company registered in England and Wales (Companies House No. 13287907), whose registered office is at 4B Triangle Business Centre, 95 Commerce Way, Lancing, BN15 8UP.
By using this website, submitting an enquiry or instructing us, you confirm that you have read, understood and agree to be bound by these terms. If you do not agree, please do not use our website or services.
We may update these terms from time to time. The version in force at the time you use the website or place an instruction will apply.
2. Our services
We source and assist with the acquisition of investment property on behalf of clients.
Our services may include identifying and assessing investment properties, negotiating purchases on your behalf, coordinating refurbishment and project delivery, and introducing you to professional partners such as solicitors, brokers and landlords.
We act as a sourcing agent and property finder. We are not a solicitor, licensed mortgage adviser, tax adviser or accountant, and nothing we provide should be treated as legal, mortgage, tax or investment advice.
The specific services, costs and timescales for your purchase will be set out in the written agreement or instruction you sign with us. That agreement, together with these terms, governs our engagement.
3. Your responsibilities
To work with us you must:
- Give us accurate and complete information about your budget, objectives, target areas, financing and timeline.
- Confirm that you are legally able to buy property in the United Kingdom and that any funds used are from legitimate sources.
- Provide identification and other documents promptly when requested, so that we can carry out required checks.
- Appoint your own solicitor and, where appropriate, a qualified financial or tax adviser before committing to a purchase.
- Meet deadlines and payment dates agreed with us and with third parties.
4. Enquiries, deals and reservation agreements
Property information we share is provided for you to consider and does not amount to an offer to sell. A property remains available to other buyers until contracts are exchanged.
Where you wish to proceed with a property, you will normally be asked to sign a reservation agreement and pay a reservation fee to hold the property while contracts are prepared. Unless the agreement you sign states otherwise, reservation fees are non-refundable once you withdraw, fail to meet a deadline, or cannot complete for reasons within your control.
We are not the owner of the properties we source and cannot guarantee that any property will remain available, that a purchase will complete, or that any third party will perform their obligations.
5. Fees and payment
All fees are quoted in pounds sterling and, where applicable, include VAT at the prevailing rate.
Any finder's, sourcing or project management fee becomes payable on the terms set out in your written agreement, normally on or before completion of the purchase. Fees are due whether or not you subsequently let, refinance or sell the property.
Third-party costs such as legal fees, lender fees, stamp duty, survey costs, licences and refurbishment expenses are separate from our fees and remain your responsibility.
If payment is late, we may charge interest at the Bank of England base rate plus 4% per annum, and may suspend work until the account is up to date.
6. Property information and due diligence
We take reasonable care to present properties and figures in good faith, but the information we provide comes from third parties and is subject to change.
Rental income, yields, capital growth, refurbishment costs and resale values are estimates only. They are not guarantees or predictions of future performance, and actual results may be materially different.
You are responsible for carrying out, or instructing others to carry out, your own due diligence, including surveys, legal enquiries, leasehold checks and affordability assessments, before committing to a purchase.
You should not rely on any statement in our materials as a substitute for independent professional advice.
7. Anti-money-laundering checks
We are required to verify the identity of our clients and, in some cases, the source of funds before proceeding with a transaction. We may ask for documentary evidence and may decline or terminate an engagement where checks cannot be completed or raise concerns.
We may report suspicious activity where we are required to do so, and we will not discuss such reports with you.
8. Intellectual property
The content of this website — including text, logos, graphics, images, layouts and the Property-X name — is owned by or licensed to us and is protected by copyright and other intellectual property laws.
You may print or download pages for your own personal, non-commercial use. You may not copy, reproduce, republish, redistribute or commercially exploit our content without our prior written permission.
9. Use of the website
You agree to use this website lawfully and not to:
- Use it in a way that breaches any law, infringes any right, or causes damage to us or any third party.
- Attempt to gain unauthorised access to any part of the site, its systems or its data.
- Interfere with, disable or overburden the website or its hosting.
- Scrape, harvest or collect data from the site for unsolicited marketing.
10. Third-party links and services
Our website may link to third-party sites, tools and booking platforms. We provide these for convenience, do not control them, and are not responsible for their content, availability, terms or practices.
11. Limitation of liability
Our services are provided with reasonable skill and care. To the fullest extent permitted by law, we exclude all conditions, warranties and representations that are not expressly set out in these terms.
We will not be liable for loss of profit, loss of opportunity, loss of rental income, loss of anticipated capital growth, loss of data or any indirect or consequential loss, or for matters outside our reasonable control, including the acts or omissions of third parties such as sellers, solicitors, lenders, contractors or tenants.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
12. Force majeure
We will not be liable or responsible for any failure or delay in performing our obligations where this is caused by events outside our reasonable control, such as natural events, industrial action, supplier failure, war, terrorism, epidemic, government action or the loss of a third-party service.
13. Confidentiality
We will treat your personal and financial information in accordance with our privacy policy. You agree to keep confidential any deal information, pricing and contacts we share with you, and not to approach the seller, landlord or vendor agent directly in relation to a property we have introduced, for a period of twelve months from introduction.
14. Termination
Either party may end the engagement by giving written notice. Terminating does not release you from paying fees and costs that have already become due, or from obligations that by their nature continue after termination, such as confidentiality and the introduction protection period above.
15. General
These terms, together with any written agreement you sign with us and our privacy policy, represent the entire understanding between us in relation to our services.
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
We may assign or transfer our rights and obligations under these terms; you may not do so without our written consent.
16. Complaints
If you are unhappy with our service, please contact us in writing at sourcing@property-x.co.uk. We aim to acknowledge complaints within two working days and to respond substantively within fifteen working days.
17. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute arising from them or from our services is subject to the exclusive jurisdiction of the courts of England and Wales, except that we may bring proceedings in the country in which you reside.
18. Contact
Questions about these terms can be sent to sourcing@property-x.co.uk, or by post to 10K Media Ltd (PropertyX), 4B Triangle Business Centre, 95 Commerce Way, Lancing, BN15 8UP.
